1. Introduction
Welcome to WAHOO BOOTCAMP, your trusted Shopify Certified Consulting Partner located at REGUS, #626-1, Thudiyalur to Saravanampatti Road, Chinnavedampatti Post, Coimbatore-641049, Tamil Nadu, India. These Terms and Conditions ("Terms") govern your access to and use of the services provided by WAHOO BOOTCAMP ("We," "Our," or "Us"). By accessing or using our services, you agree to be bound by these Terms.

Employee-Like Services: For the purpose of these Terms, "Employee-Like Services" refers to the services we provide to clients under a relationship intended to emulate an employment structure, as outlined under the Indian CGST Act, 2017 Schedule III.

Client: The term “Client” refers to businesses, corporations, or individuals contracting our services.
3. Nature of Services
We provide Shopify Expert services on a recurring basis, structured to align with the terms of employment rather than freelance or contractor engagements. These services meet the standards of an employment-style engagement, where deliverables, scope, and responsibilities are defined similarly to a traditional employment relationship.
4. Service Structure

Defined Scope: Services are offered under fixed, regularly scheduled terms based on pre-agreed responsibilities, similar to a salaried employment contract.

Compensation: Payment for services is made on a monthly, bi-weekly, or weekly basis. We refrain from billing on an hourly basis to maintain the employment-like nature of the services.

Working Hours: Our services are provided within standard working hours agreed upon with each Client. The hours are structured similarly to a full- or part-time employment commitment.
5. Non-GST Classification
- Under the provisions of the Indian CGST Act, 2017, Schedule III, our services to each Client are intended to fall under "Services by an employee to the employer in the course of or in relation to his employment" and are therefore not subject to GST.
- We undertake all necessary actions to structure our engagements under an employment-like format to comply with Schedule III of the CGST Act and, as such, the Client shall not withhold GST on payments made for these services.
6. Client Responsibilities and Participation

Transparent Communication: Clients must provide all necessary materials, such as product images, design creatives, and other resources, in a timely manner. This ensures the project remains on schedule, especially for clients utilizing the free 4-hour setup.

Realistic Expectations: The free 4-hour setup is intended for a simple, prototype website with a focus on Minimum Viable Product (MVP) launch. For enhanced customization and scaling, additional paid services are available.
7. Upgrading to Paid Services
If project requirements exceed the free 4-hour setup, we offer a seamless upgrade to paid services at a rate of 1,000 INR per hour per expert. The transition to paid services will be discussed transparently to avoid misunderstandings regarding scope and costs.
8. Cancellation and Refund Policies for Paid Services

No Cancellation of Paid Services: Once paid services commence, cancellations are not accepted as resources are immediately allocated.

No Refunds for Paid Services: Refunds are not provided for paid services beyond the free setup. We encourage clients to communicate requirements clearly before starting any paid engagement.
9. Scope Definition and Preventing Scope Creep

Clear Boundaries: The free 4-hour setup covers essential tasks only. Any additional work outside this scope requires an upgrade to paid services.

Client Feedback: Prompt feedback is necessary to maintain project timelines and maximize productivity within the free setup period.

Upfront Agreements: All deliverables are discussed before project initiation. If new requirements arise, clients are notified about potential impacts on timelines or costs.
10. Confidentiality and Non-Compete
- All proprietary information shared during the engagement remains confidential. WAHOO BOOTCAMP will refrain from offering similar services to competitors during the engagement without prior consent.
- Non-compete terms may apply post-termination, mirroring the confidentiality standards of employment contracts.
11. Client-Consultant Relationship
- WAHOO BOOTCAMP values respectful, collaborative relationships with clients. Clients are expected to trust our Shopify experts’ recommendations. Any conflicts will be tactfully managed to keep the project aligned with business goals.
12. Privacy and Data Protection
- Your personal data and Shopify store information are treated with the utmost confidentiality. Please refer to our Privacy Policy for details on data protection throughout our engagement.
13. Termination and Notice
- Both parties may terminate the engagement by providing a 30-day notice period, unless otherwise agreed. This structure reflects the stability of a regular employment relationship.
14. Limitations of Liability
- While we endeavor to deliver quality and timely services, WAHOO BOOTCAMP is not liable for incidental, indirect, or consequential damages resulting from any delay or non-performance of services.
15. Dispute Resolution
- Any disputes arising from these Terms or the services provided will be resolved through mediation or arbitration before proceeding to litigation, reflecting an amicable resolution process typical of employer-employee relationships.
16. Modification of Terms
- WAHOO BOOTCAMP reserves the right to amend these Terms at any time. Clients will be notified of significant changes, and continued engagement implies acceptance of modified Terms.
17. Governing Law
- These Terms are governed by and construed in accordance with the laws of India, reflecting the employment-like nature of our engagements.
